Dear Skills Funding Agency,

Please provide me with the following information under the Freedom of Information Act:

1) The status of Ufi/learndirect.
Is it abolished

If Ufi has been abolished then;

2) What happened to the contracts held by UFI from the Skills Funding Agency, have they been transferred to the private entity Learndirect Limited?

3) A Copy of the 12/13 contract+allocation between Learndirect Limited and the Skills Funding Agency.

4) A Copy of the latest subcontracting register details for Learndirect Limited detailing its subcontracting arrangements with lead providers and subcontractors.

5) Can you please clarify weather as part of the merger with JHP, does learndirect limited and JHP still operate under seperate contracts from the agency or are they combined?

It is the Agency’s understanding that Ufi Charitable Trust sold Ufi Limited which traded as “learndirect” to LDC, in 2011.

This was reported by both Ufi Charitable Trust and LDC on their respective websites which can be accessed here:

2. What happened to the contracts held by UFI from the Skills Funding Agency, have they been transferred to the private entity Learndirect Limited?

The Agency had a funding agreement with Ufi Limited (which traded under the brand, learndirect, and which organisation was purchased in 2011). There was no transfer of the funding agreement as this remained with Ufi Limited. In 2012, Ufi Limited changed its name to Learndirect Limited. The date of the Change of Name is recorded as 24 April 2012 according to information accessible through the Companies House website:

JHP and Learndirect currently operate under separate funding agreements.

The Agency will respond to the outstanding elements of requests 3 and 4 as previously advised.

Under request 3, please find attached a copy of the contract. Variations (2) are attached to an additional submission to follow this response.

With regard to request 4, the latest subcontracting register details for Learndirect Limited are published in the Subcontracting register, which can be accesssed via the link on the following page for the May Register:

The information requested about arrangements between Lead providers does not form part of the Agency's Subcontracting Register. However, the Agency is currently preparing this information for publication during July, and the information is therefore exempt from disclosure under section 22 of the Freedom of Information Act 2000.

The Agency has weighed the public interest in disclosure of the information requested and considers any public interest in disclosure at this point in time would serve a general interest in transparency and accountability. However it also considers there is a public interest in allowing a public authority to prepare the information for publication in a matter and form and at a time of their own choosing and as a planned and managed activity within the reasonable control of the authority. The Agency has also taken into account the point in time weighed against its intention to publish the information before the end of this month, and has concluded that the public interest favours withholding the information requested and allowing its preparation for publication as planned.
