Dear Sue Broughton,

For clarification, I would be grateful if you would extend your enquiries to ALL departments and applicable Councillors. It is clear from the copy of the exempt report supplied in response to another request that named officers from other departments, including planning, legal and corporate, were consulted about this agreement. There are also other officers mentioned in the emails you have previously supplied, as well as one named Councillor. I did not limit my request to information held solely by the Housing and Finance departments.

Yours sincerely,

Extract from ICO guidance note:

Information produced or received by councillors
The Freedom of Information Act 2000 (FOIA) and the Environmental Information Regulations 2004 (EIR) give rights of public access to information held by public authorities. This is part of a series of guidance notes to help public authorities understand their obligations and to promote good practice.
This guidance is for local authorities of all sizes, including parish councils. It explains when information produced or held by elected members may be requested under the FOIA or the EIR.
Overview
• Individual councillors are not authorities for the purposes of the FOIA or the EIR.
• Information is subject to the FOIA if it is held by a public authority on its own behalf or is held by someone else on behalf of the authority.
• Environmental information is subject to the EIR if it is in the possession of a public authority which has created or received it, or if it is held by someone else on behalf of the authority.
• Correspondence between councillors or information held by a councillor for their own private, political or representative purposes will not usually be covered.
• Information received, created or held by a councillor on behalf of the local authority will be covered, for example, where a councillor is acting in an executive role as part of a council cabinet.
• Information created or received by a councillor but held on a local authority’s computer system or at its premises will only be covered if it is held for the authority’s own business.

Dear Sue Broughton,

I have not taken advice on the matter, but it appears to me from reading the ICO guidance that you might be mistaken regarding councillors' correspondence.

I have posted an extract and the link on the whatdotheyknow.com web site.

Dear Mrs Giggins,

Request for information: Other documentation related to the proposed
risk-sharing agreement with Sovereign Housing

I am writing to advise you that the authority is extending the time to
respond to this request under Regulation 7 of the Environmental
Information Regulations 2004. This is because this is a historical
matter, now closed, and the authority must therefore extract older email
records from the email archive, and obtain closed files from the hard
copy archive, - we have in addition followed your suggestion to follow
up this matter more widely, and as a result the volume of data to be
checked makes it impracticable to deal with this within twenty working
days.

Dear Sue Broughton,

Once again we are not in agreement about the Regulation 7 exemption.

For ease of reference, I have copied in Regulation 7 below:

Extension of time

7.—(1) Where a request is made under regulation 5, the public
authority may extend the period of 20 working days referred to in
the provisions in paragraph (2) to 40 working days if it reasonably
believes that the complexity and volume of the information
requested means that it is impracticable either to comply with the
request within the earlier period or to make a decision to refuse
to do so.

(2) The provisions referred to in paragraph (1) are—

(a)regulation 5(2);
(b)regulation 6(2)(a); and
(c)regulation 14(2).
(3) Where paragraph (1) applies the public authority shall notify
the applicant accordingly as soon as possible and no later than 20
working days after the date of receipt of the request.

I  don't think the request is particularly complex, nor am I expecting a voluminous amount of information, and whilst I appreciate that it is now some two years since I first voiced my concerns to the Council about this agreement which was made behind closed doors and seemed to me to compromise the planning process, I am surprised both that you consider the matter "closed" and that the majority of the  information requested has not been scanned and filed electronically which would enable it to be retrieved within the prescribed timescales.

Once again I will be referring the matter to the Information Commissioner to consider under s77 of the FOI Act, but in the meantime I would be grateful if  you would release the information you have been able to locate within the 20 day period, and the remainder as soon as possible thereafter with a more detailed explanation as to the complexities ( rather than practicalities) of obtaining it within the normal timeframe.

Many thanks,

Yours sincerely,

J A Giggins

Dear Mrs Giggins,

Request for information: Other documentation related to the proposed risk-sharing agreement with Sovereign Housing

Thank you for your email. I think we may be at cross purposes here. There has never been any risk-sharing agreement between the authority and Sovereign Housing. The agreement was proposed, drafted and discussed, and agreed in principle, (the purpose of the report you have already received), but never enacted. Consequently the information has been archived some time ago and the files closed. Emails have not all been retained because they didn't fall within the requirement to be retained as records, so we are having to do some additional work to establish that we have traced everything. And you asked about councillor involvement, which seems unlikely as the agreement never went beyond a proposal, but which I am, as you suggested, trying to check.

However, you are welcome to refer this to the Information Commissioner if you wish to do so.

Dear Sue Broughton,

Many thanks for your email of 23rd August. Whilst it is certainly news to me that the cost and risk sharing agreement was never formally signed, I do not believe that there is any confusion as to the other information requested and I would be grateful if you could supply it (including that held/generated by Councillors in their Executive capacity) in accordance with the provisions and timescales of the FOI Act/ EIR regulations.

Dear Sue Broughton,

Many thanks for this information. I look forward to receiving the remainder, and am hoping it will shed some light on why it took a year to bring this agreement to the attention of the Executive, why KPMG's advice and the observations of the Council's own legal team appear to have been ignored in the report presented to the Executive, and why the agreement which had been in existence in draft form and had purportedly widely consulted on within the Council was not subsequently signed.

I am wondering whether the agreement was signed at an earlier date by someone who did not actually have the authority to do so. it seems odd to me that having gone to the trouble of drawing up this agreement Sovereign Housing would have proceeded to demolish the garages adjacent to Platt Courtt, build a bat house ( thus circumventing the regulations regarding endangered species ) and presumably incurr further pre-planning costs without first ensuring that the agreement was signed.

Please could you therefore confirm your statement that the agreement was never signed.

Many thanks.

Dear Mrs Giggins,

Request for information: Other documentation related to the risk-sharing
agreement with Sovereign Housing

I have now obtained additional information to respond to your request.
Please find attached some emails between officers and external
organisations relating to the proposed risk sharing agreement. We have
also included the Draft Heads of Terms; this was never finalised but is
referenced in other documents. The report mentioned in RSA emails 5 is
the one already supplied which went to Corporate Board in March 2010.

We have withheld some information within RSA emails 3 on the grounds
that this is exempted by legal professional privilege, as it represents
legal opinion or advice presented by the legal advisers for Sovereign
Housing and the legal advisers for West Berkshire Council on behalf of
their respective clients. It is our view that where this information is
legal advice supplied on behalf of the Council it is confidential in
nature - the exception at Regulation 12(5)(d) of the Environmental
Information Regulations 2004 applies; or where this information is
legal advice supplied on behalf of Sovereign Housing it is commercially
confidential in nature - the exception at Regulation 12(5)(e) applies. A
copy of the exceptions and the public interest test are annexed.

We have also withheld The Priory Pre-Construction Agreement, which was
included with one of the emails. This agreement was made between
Sovereign Housing and their developer, and the authority is not a party
to it. It is our view that it is exempted as commercially confidential
under Regulation 12(5)(e). Again this is explained in the annex.

A small amount of information on RSA email 1 has been withheld because
this does not relate to the Priory development.

I am awaiting additional information in an electronic format.

Some information in RSA emails 19 has been withheld for the reasons
outlined in my previous email (it falls within the exception at

information in RSA emails 23 has also been withheld as it comprises
personal data about another individual and is excepted under Regulation
13 of the Environmental Information Regulations 2004 and a copy of the
exception is attached.

I believe that this comprises all the information held by the authority
in respect of your request. However, as this has involved a considerable
amount of work checking through archived information, and cross checking
against information held by a number of officers, I will confirm with

Many thanks for this further information.

I note that you are intending to confirm with colleagues as to whether this is all the information that the Local Authority holds, and I would be grateful if you could confirm that that includes Councillors acting in their Executive capacity as previously discussed.

I would also be grateful if you could point out to colleagues that I asked for information arising before and after the cost and risk sharing agreement was entered into. There does not seem to be any follow up from KPMG regarding their advice, which was not in my opinion adequately reflected in the agreement, nor subsequently followed. Nor is there any correspondence that explains why the agreement wasn't signed.

I have been sent, and have also accessed, additional email strings
regarding the risk sharing agreement. Some of this is very peripheral or
administrative and are included for completeness. There are several
drafts which you may already hold but it's not clear, unless I read all
the drafts, which versions we have already supplied, and these are
included for completeness with the covering emails. Some information may
be duplicated. I have also identified one email string around a letter.
I will send these in several tranches

Apologies for the late delivery of this information - I was not aware
that June Graves email vault was still being checked last week.

You have also asked:

I would be grateful if you could confirm that that includes Councillors
acting in their Executive capacity as previously discussed.
I have confirmed that Executive Members do not discuss matters brought
to Executive prior to the Executive meeting.

And you have asked:

There does not seem to be any follow up from KPMG regarding their
advice, which was not in my opinion adequately reflected in the
agreement.
As explained, the agreement was never completed or signed, and existed
only in draft. It is impossible to know how the advice from KPMG would
have been reflected in the final version.

Dear Sue Broughton,

Please be advised that my email of earlier today refers to your first email of today ( 1st October).

Whilst the further emails you have provided give further information with regard to the drafting and progress of the agreement up to its agreement by the Executive Board, there are, as you say, a considerable amount of duplicated emails and they are not presented in any particular order. They also seem primarily to concentrate on matters prior to presentation of the report to the Executive Committee, with no real explanation as to why the Executive's resolution was not enacted. On the balance of probabilities it is my belief that there is further information within the scope of this request that the Council has decided not to seek out or disclose.

I note your reference to the time taken dealing with this request so far, but would ask that the Council also takes into account in its internal review the duty to 'advise and assist'. You did not ask me to refine the request, and despite clarification appear to have limited its scope to exclude Councillors acting in their Executive capacity.

I am assuming that the time limit exemption does not apply to the intenal review process, but if the Council wishes to forego the internal review please advise me immediately so that I can refer the matter to the Information Commissioner.

Many thanks.
