We write further to your recent request for information in which you
asked:

 

“I request the Memorandum of Association, Articles of Association,
Statements of Accounts and Minutes of Board meetings for the last 12
months held by the local authority for the following:

Wirral Holdings Ltd
Edsential Community Interest Company
Wirral Evolutions Ltd”

In respect of the five companies mentioned in your request Wirral Council
can comment as follows:-

Chrysalis (General Partner) Limited CRN 07949782  
Wirral Council have no knowledge of this company, save to the extent that
it may have been disclosed as an interest of Phil Davies, a former
councillor.  The Council has no information other than that which is
already available in the public domain.

Wirral Growth Company Ltd CRN OC423097
Wirral Growth Company LLP (limited liability partnership), is a joint
venture vehicle established for the Wirral Growth Company project. 
Minutes of the JV Board meeting held on 2 April 2019 are due to be
approved at the next meeting in July 2019 and following approval, will be
published.  The Council therefore relies upon Section 22 of the Freedom of
Information Act 2000 – information intended for future publication.

 

Section 22 is a qualified, class-based exemption and subject to a public
interest test. The legislation states that a definitive date for
publication does not need to be set, but that the public body should be in
receipt of the information and have a settled intention to release it into
the public domain.  The Information Commissioner’s guidance on Section 22
can be found at [1]this link.

 

The Council acknowledges the importance of public authorities operating in
an open and transparent manner and that this is an important factor of its
public interest reasoning.  There is a generic public interest in
accountability and transparency as the project involves public expenditure
and potential public benefit.

 

However the Council considers that the disclosure of draft minutes into
the public domain would be damaging to the process of ensuring that
minutes are correct and could result in a false impression of the content
of a meeting, should there be any error or omission of detail. It is clear
that the process of signing minutes is to ensure that a proper public
record is issued, and there is clear public interest in ensuring that this
process is completed.

 

The Council believes that the public interest factors in favour of
withholding the requested information outweigh those in favour of
disclosure. This information is thereby considered exempt under Section 22
of the Freedom of Information Act 2000.

 

 

Wirral Holdings Ltd CRN 11750772
Wirral Holdings Limited was established earlier this year.  It has not
delivered accounts and no board meetings have been held. 

Edsential Community Interest Company CRN 09550258
This is an external company in which the Council has an interest, but the
Council does not monitor its board meetings.  Please redirect your request
for minutes to Edsential’s appointed Company Secretary, Ian Mason.

Wirral Evolutions Ltd  CRN 09589553
This is an external, wholly owned company but the Council does not monitor
its board meetings.  The minutes requested are not held by Wirral Council
and your request should be directed to that company. Please redirect your
request to Wirral Evolutions’ Managing Director,  Jean Stephens
[3][email address] as the company has no formally
appointed Company Secretary.

In respect of all of the named companies, annual accounts, Articles and
Memorandums of Association etc are publicly available via Companies House
at [4]https://beta.companieshouse.gov.uk/.   As they are already in the
public domain and reasonable accessible they are exempt from disclosure
and this part of your request is refused under Section 21 of the Freedom
of Information Act 2000.

 

You have the right under Section 17 of the Act to ask for an internal
review in respect of this refusal of your request for information. This
