Dear Post Office Limited,

According to the Shareholder Relationship Framework Document between BEIS/UKGI and POL implemented on April 1st 2020, POL’s Board is bound to inform the Department prior to taking any final decision on a Relevant Issue which is defined as:

‘an issue which may have a material adverse effect upon the business or financial prospects of the Group or any Group Company’ and/or ‘regulatory matters, such as any Group Company being referred for regulatory investigation by a relevant regulatory authority’ (p18)

Please can you confirm if the activities of POL with regard to the list below are considered by the Board to be Relevant Issues and therefore subject to reporting to the Shareholder prior to a final decision being taken?

i) 47 cases referred by the Criminal Case Review Commission to the Court of Appeal,

ii) 1800 applicants to the Historical Shortfall Scheme,

iii) 900 plus historic sub-postmaster prosecutions POL is currently investigating

Yours faithfully,

Eleanor Shaikh
