Freedom of Information Request Re:
Redwood Financial Partners Ltd - Company No. 09760209 (RFPL)
1. The filing history tab on the Companies House website shows two items:
(a) A document with a file date of 12/9/2017 for a PSCF03 (ef) document described as :
"Notification of Warrington Borough Council as a person with significant control on 5 April 2017"
(b) . A document with a file date of 20/4/2017 for a document described as :
"Resolution of adoption of Articles of Association"
If either of (a) or (b) above are not facsimile copies of the documents the bank submitted to register the changes, please let me have
1.1 A copy of what the bank did submit.
1.2 The dates Companies House received the documents.
1.3 In addition please let me have copies of any other documentation the bank submitted in connection with or along with both the 1(a) and 1(b) notifications above that is not shown on the Companies House web site.
2. Re. Item 1(b). Warrington Borough Council (WBC) deny they were a shareholder on 5/4/2017. Neither did they sign the Resolution (item 1.2 above) that changed the Articles.
If WBC were indeed a shareholder on 5/4/2017 with 33% of the shares (confirmed by the Confirmation Statement (CS03) made on 2/9/2017 and filed on 14/9/2017) then the Articles were not signed by 75% or more of the shareholders contrary to the Companies Act.
2.1 Is the time of the day when documents are filed recorded and if so did WBC become a shareholder at some time after the Resolution in 1(b) above was recorded on 5/4/2017, and what times were 1(a) and 1(b) recorded for any statutory or legal purposes?
2.2 Given that WBC deny they were a shareholder on 5/4/2017 when the Companies House record indicates they were, do Companies House have any correspondence or knowledge which might explain this contradiction and if so please let me have details?
2.3 As far as any statutory or legal purposes are concerned are Warrington Borough Council regarded as being a shareholder of Redwood Financial Partners Ltd. at any time on 5/4/2017?

I refer to your email of 28 August 2018, requesting information under the Freedom of Information legislation for Redwood Financial Partners Ltd – 9760209.
Firstly, Companies House (CH) does not hold the information you have requested i.e. we do not hold any additional information, other than the information which has been made available on the public register.
CH accepts all information in good faith and we have no power to validate or verify what has been provided to us.
Additionally, CH cannot categorically say the date of when an individual/corporate body became shareholders as we would not know of any changes until we are notified by the company. You may wish to view the following guidance on event driven filings which includes a section on share allotment
Whilst CH does not hold the information requested I hope the above will be of some assistance.
