PFI Advisers - Conflict of Interest

Which companies have advised your local authority on each of its PFI projects and contracts from inception, through procurement, during construction and operation on issues relating to structural, legal, financial, governance, audit and performance review. Please provide that information by each PFI scheme, providing the HMT unique reference number.

Please provide documentation demonstrating how your local authority selected the advisers referred to above? Please provide any internal or external process documents (e.g. from HM Treasury/ Partnerships UK) in relation to the selection, a copy of invitations to tender and tender documents.

Please provide documents demonstrating how your local authority, as part of that selection, ensured that the auditors and lawyers, accountants and business consultants referred to above were not conflicted in any way with any of the organisations involved previously or currently with your PFI project(s). This could include documents, statements and correspondence between the local authority and its auditors relating to any conflict of interest or potential conflict of interest.

Please confirm who you have appointed as external auditors for the year 2015/16 and provide all policies/protocols or any other documentation which demonstrate how you ensure that there is no ongoing conflict of interest in relation to these auditors.

Thank you for your email dated 19 May 2017.

 

You ask in your email about matters relating to PFI Projects and
contracts. The Council has procured only one PFI Project namely ‘659
Priority Homes - Putting affordable Housing First’ which is a Non HRA
Housing project.  This Project was started in 2006 and construction was
completed in February 2017.

 

You ask in your email which companies have advised us on matters relating
to structural, legal, financial, governance, audit and performance review
from inception, through procurement, during construction and operation.

We procured our advisors: Gleeds (Technical Advice), Devonshires (Legal
Advice), and Navigant (Financial Advice) at the outline business case
stage in 2006/2007.   We did not procure advisors for governance, audit
and performance.

 

You ask in your email that we provide documentation demonstrating how we
selected these advisers including a copy of invitations to tender and
tender documents.  At the time of the advisor procurement in 2005/2006,
the Council was using a system called Tendermax.  Tendermax is now no
longer used; those documents are no longer held by the Council as the
Council does not have access to those documents that were contained in
that system.

 

At Financial Close in November 2013 the Independent Certifier (Artelia)
was jointly appointed by the consortium and the Council in accordance with
the standardised Project Agreement stipulated by the HMT; the Council did
not carry out the procurement but was party to the contract.  (Contract is
attached).

 

You ask in your email who we have appointed as external auditors for the
year 2015/16 and for us to provide all policies/protocols or any other
documentation which demonstrate how we ensure that there is no ongoing
conflict of interest in relation to these auditors.

Our appointed external auditors are KPMG, appointed independently by the
Audit Commission/their successor body Public Sector Audit Appointments
(PSAA).  The Council will have been required to confirm at the time of
appointment that there are no conflicts, and we report in our accounts
each year of any fees to KPMG on top of the standard audit work.  They
also report in their audit report (ISA260) on any additional work and
consider conflict of interest (see attached report to Standards)

 

I hope that you are satisfied with the way in which your request for
information has been dealt with. If not, the Council has decided that any
complaint regarding requests for information that cannot be dealt with
satisfactorily on an informal basis should be dealt with in accordance
