Payment to Serco relating to Viapath

Dear King's College Hospital NHS Foundation Trust,

Page 69 of the Serco Group plc 2000 accounts state that Serco received a payment from the other partners in Viapath (Guy’s & St Thomas’ NHS FT and King’s College Hospital NHS FT) of £15.1 million on 31/5/20 for Serco’s 33% share of Viapath. £1.2 million was the repayment of a loan, but the balance was accounted for by Serco as a combination of profit and gain on disposal.
Please answer the following questions in respect of this transaction
1. How much of the £15.1 million was paid to Serco by the authority, how much by Viapath, and how much by the other NHS partner?
2. When was the contract between the authority and Viapath due to terminate? I understand that this was November 2020.
3. What process was used to determine that £13.9 million (net of the loan) was a fair value for a 33% share in a business which only had c6 months remaining of its main contract
4. Did both the finance and investment committee and the board of the authority approve the valuation and payment, and if so on what dates?
5. What external advice was taken to determine that the valuation was fair?
6. Which advisers were used, and what was the amount of fees paid to each adviser?
7. Were NHS England and or NHS Improvement notified about the payment?
8. Did either NHS England and or NHS Improvement approve the payment, and if so on what date.
9. At any time in the year before the payment was made, did Serco suggest that any IT systems may not work, once Serco ceased to be a member of Viapath, unless the payment was made.
10. Please provide a copy of all email and postal correspondence between any directors of the authority and Serco during the year 1/6/2019 to 31/5/2020.
11. Please provide a copy of the legal agreement relating to the purchase of Serco’s 33% share in Viapath.
