Governance arrangements

Dear University Hospitals Birmingham NHS Foundation Trust,

I would be grateful if the Trust can consider the following requests relating to information held by the Trust:

1) Can the Trust please supply a copy of the minutes of the July 2012 Governors Council Meeting. If these is not available, when will they be available?

2) The 2010 Monitor Code of Governance states that the Annual Report should record “the other significant commitments of the chairman and any changes to them during the year (C.1.7)”

The Leader of Birmingham City Council's declaration of interests lists membership of the EU Committee of the Regions. The number of days in session in 2011/12 for the Plenary and the two Committees Sir Albert Bore was listed as a member amounted to around 21 days.

The 2011/12 Trust Annual Report does not appear to give information about this membership.
Does the Trust hold information relating the Trust Chairman's time commitment as a member of the EU Committee of the Regions?

3) The 2010 Monitor Code of Governance states that:

“CODE PROVISION A 3.1
The board of directors should state its reasons if it determines that a director is independent notwithstanding the existence of relationships or circumstances which may appear relevant to its determination, including if the director: [...]

- holds cross-directorships or has significant links with other directors through involvement
in other companies or bodies”

The Chief Excutive Dame Julie Moore is listed as a board member of Marketing Birmingham of which the Trust Chairman is listed as a non-executive director.

Mr Ritchie is listed as a director of NEC of which the Trust Chairman is listed as non-executive Director.

The 2011/12 Trust Annual reports states that all non-executives except Prof Sheppard are independent Directors. For Mr Ritchie, no reasons were given for this assessment.
Does the Trust hold information relating to Mr Richie's status as an independent non-Executive?

In view of the fact that the Trust Chairman is also the leader of a related party (Birmingham City Council), was external or internal advice sought by the Trust for governance arrangements?
If so, is this advice available?
Is there information showing if the Trust Board considered the Trust Chairman's role in relation to Code Provision 3.1?

4) Is information held for reasons that Prof Sheppard is not considered an independent non-executive?

5) The related party notes of the 2011/12 Trust Annual Accounts shows income of £128k and receivables of £81k from Birmingham City Council.
Can the Trust please supply a breaksdown of these figures showing for which services income was received.

6) The Trust Chairman is listed as attending the following Committees in 2011/12.

Trust Board All
Governors Remuneration/Nominations 3/3
Executive Remuneration 3/3

Were there other Committees the Chairman was a member of in 2011/12 and are the attendances recorded?
