Summary Google reached out to request a meeting between yourself and Ruth Porat in February.
They would like to discuss their support for SMEs, their recent Economic Impact
Report, taxation and regulation.
Speaking Points SME digital adoption
•
At Budget, I announced Help to Grow to help UK small businesses boost their
productivity as they recover from the pandemic. This has two parts:
o
world-class management training for 30,000 small businesses; and
o
support for 100,000 small businesses to adopt new technologies
through expert online advice and a 50% software discount.
•
What lessons can we take from your Digital Garage as we implement Help to
Grow?
•

Investment in the UK tech sector
•
The government is committed to building on our already world leading tech
sector which will play a vital role in the UK’s post-Covid growth. At Budget, we
announced further measures to support UK tech and the wider digital economy,
including:
1. Changes to UK migration rules to ensure we attract the best and brightest to
work in UK tech, including changes to high-skilled visas and the global talent
route.
2. Committing £375m for Future Fund: Breakthrough to provide co-investment
alongside the private sector into R&D intensive firms, that are looking raise at
least £20m.
3. We have launched a review to ensure that the R&D tax reliefs remain fit-for-
purpose in and continue to support our world class innovation ecosystem.

What plans does Alphabet have for investing further in the UK?
Tax
•
Digital Services Tax:
o The UK’s Digital Services Tax (DST) is a proportionate interim solution to
widely held concerns with international corporate tax. As you know are aware, the
DST will be removed once an appropriate global solution is in place, which is one
of the UK’s priorities for its G7 presidency.
o The Government recognised concerns about UK proposals for a DST, which is
why we consulted businesses extensively and designed the DST in a proportionate
way.
•
If raised - Online Sales Tax:
o We will consider the case for introducing an Online Sales Tax as part of the
review of business rates. The precise scope and potential impact of such a tax
would require careful consideration. The Government will consider responses to
the Business Rates Review in due course.
Competition
•
Encouraging dynamic and competitive digital markets is a priority for this the
Government, which is why we recently announced funding for a new Digital Markets
Unit (DMU) within the Competition and Markets Authority.
•
We will legislate to put the DMU on a statutory footing as soon as
parliamentary time allows, following consultation in the first half of 2021.
If raised: Online Harms
•
As set out in our recent White Paper response, our new online harms
legislation will be proportionate, and risk based. The Bill will be brought forward
later this year.
•
[if raised] on search engines: While search engines do not directly host user
generated content or facilitate online interaction, they play a significant role in
enabling individuals to access harmful content online which is why they will be in
scope of the legislation.
Factual Background DST
•
The DST will only apply to businesses with annual in-scope revenues of over
£500mn globally and over £25mn in the UK. There is also a mechanism for reducing
the tax’s impact on businesses with low profit margins, or losses, on their in-scope
activity.
•
Liability will accrue from 1 April 2020, but is not payable until nine months
after the end of groups’ accounting periods and the first payments were due in 2021.
•

•
In October the OECD published blueprints of their proposed digital tax
solution. Agreement had been scheduled for late-2020 but is now expected for mid-
2021.
Online Sales Tax
•
The Government published a Call for Evidence on 21st July, as part of its
Fundamental Review of Business Rates, to gather views from stakeholders on all
elements of the Business Rates system and a number of alternative taxes. This
includes questions on the scope and potential impacts of an Online Sales Tax.
•
The response to the call for evidence planned for 23 March will include a
response to evidence provided on the OST, but will not set out next steps.
Competition
•
Spending Review 2020 included additional funding to establish a dedicated
Digital Markets Unit within the CMA in 2021-22. This will build on the work of the
2019 Furman Review, whose six strategic recommendations you accepted at Budget
2020, and the December 2020 CMA-based Digital Markets Taskforce Advice to
Government, which looked at how to operationalise the key elements of the Furman
Review.
•
We will now consider the Taskforce's advice on the design of pro-competition
measures carefully and will respond in due course. We will consult on proposals for
the new regime in the first half of 2021 and legislate to put it on a statutory footing
when parliamentary time allows.
•
Government will establish the a non-statutory DMU within the CMA next
year, to begin to operationalise the key elements of the regime.
•
We are considering what arrangements should be in place to enable close
cooperation between regulators and will work closely on this with the Digital
Regulation Cooperation Forum (a group with membership of CMA, Ofcom, ICO).
Regulation: Online Harms Following publication of the full government response, DCMS and the Home Office have
engaged with Google to discuss the proposals. Google are broadly supportive of the
proposals, including the systems and processes-based approach and the duty of care
model. Search engines are in scope of the legislation because there is clear action that search
engines can take to mitigate the risk of harm to individuals.
Google Economic Impact Report 2020
•
Google published an Economic Impact Report for 2020 which highlights the
contribution Google’s service shave made to the economy in 2020. Key points
include:
o
Google’s core search and advertising tools helped support £55 billion in
economic activity for over 700,000 businesses in the UK
o
Over 500,000 businesses said that Google Workspace had been essential to
their ability to keep operating during Covid-19.
o
The Android App Economy generates £2.8 billion in revenue for UK
developers, supporting 240,000 jobs across the UK. At the same time, YouTube
creates an estimated £1.4 billion for the UK economy, and supports over 30,000
jobs
Google Digital Garage - an online tool that contains 26 modules that teach learners over the
course of 40 hours with a test at the end for certification. The course is completely free for
businesses to do and allows individuals to improve their use of Googles tools.
SME Support during Covid
o
$20 million in ad grants to community financial institutions and NGOs
specifically to run public service announcements on relief funds and other
resources for SMEs.
o
A $200 million investment fund that will support NGOs and financial
institutions around the world to help provide small businesses with access to
capital. This is in addition to the $15 million in cash grants Google.org is already
providing to non-profits to help bridge these gaps for SMEs.
o
$340 million in Google Ads credits available to all SMEs with active accounts
over the past year.
Alphabet/ Google
•
Google is the world’s 4th largest company and made $183 billion in revenue
worldwide in 2020 (a 13% increase year-on-year). Google search engine has 86%
global market share, and 93% in the UK.
•
Google opened its first UK office in 2003. Since then, it has continued to
invest in its UK presence and has almost doubled its UK headcount (to 4,439) in the
last 5 years. This number could reach 11,439 once Google completes the expansion of
its offices in King’s Cross, including 5,000 engineers.
•
The CMA Market Study in 2019 concluded that Google has more than a 90%
share of the £7.3 billion search advertising market in the UK and a clear incumbency
advantage.
Ruth Porat (Alphabet, CFO)
Porat joined as CFO of Google and Alphabet (Google’s parent company) in
May 2015. Prior to this she was CFO of Morgan Stanley, and before this held roles in
investment banking, financial institutions, and technology investment banking. Porat advised

the US Treasury during the 2008 financial crisis and was reportedly considered for US
Treasury Deputy Secretary in 2013, but withdrew. Porat was born in Sale, Cheshire, moving
to the US at a young age, and has worked in London while at Morgan Stanley
Katie O’ Donovan (Google, Director of Government affairs and Public Policy)
O’Donovan became Director of Government affairs and Public policy in
October 2020. She joined Google in 2014 and was previously a Special Advisor to Tony
Blair and David Miliband.

opportunity to discuss our economic impact in the UK, the potential of COP26,
and some of our UK policy considerations. The economic growth we enable for small businesses, families and the wider
economy is a top priority for us. Our recent report demonstrated that Google
supported £55 billion in economic activity for over 700,000 businesses in the UK.
Knowing that digital skills are key to helping businesses do more, our Grow with
Google programme will help one million UK businesses by the end of the year
through business support, mentoring and training, ensuring the economic impact
we enable continues to grow and support the UK recovery. As I mentioned we are close to confirming the launch of a new programme, Google
Career Certificates, which enable job seekers to gain in-demand digital skills in
areas including IT support, project management, UX design and data analytics. As
our plans with Government are finalised, we are keen to follow up with your office
to explore a potential partnership at launch. Thank you for your comment that you

• RP explained how Google Search had supported £55bn of economic activity in 2020, helping
>700k UK businesses. And as Google moved forward they were keen to lean into the digital
skills agenda: they were impressed by the CX’s Budget announcement, and themselves had
just announced a new digital learning scheme which included certification. [Redacted

• On COP, RP set out that Google was making strides in being carbon neutral, and was very

Following our productive meeting last year, I’m writing to request a meeting with Ruth Porat in
February. In particular, she is keen to discuss how Google can further help UK SMEs recover
from the pandemic, share data from our forthcoming report on Google’s economic impact in
the UK and explore the potential opportunities arising from the new Biden Administration.
Our UK MD Ronan Harris is delighted to be part of the new Build Back Better Business Council
and we are keen to build on our support for small businesses during the pandemic. We have
committed to direct support, training and mentoring to one million small businesses in the UK
by the end of 2021, including helping them do more online, ensuring they’re able to trade and
engage with customers, even during periods of lockdown.
Next month, we will also be launching our latest Economic Impact Report, which looks at the
value we contribute to and enable in the UK economy. You may remember that you launched
our previous iteration of this report in October 2018. We would appreciate the opportunity to
brief you on the new report’s findings, as well as discuss areas where we might be able to
collaborate to secure the UK’s economic recovery and maintain the UK’s position as a global
tech leader.

Google have requested a meeting to discuss UK inward investment and
competitiveness, digital skil s, competition and the Digital Services Tax. This is a good
opportunity for you to hear their views on UK competitiveness and to encourage
support for our objectives on level ing up, R&D and skil s.
Speaking Points
Investment and UK competitiveness
• We want the UK to be the best place to start and grow a digital business. To
support this, we have committed £7bn to R&D since 2016, including major
investments in AI. The manifesto also commits to reform R&D tax credits to
incentivise investment in cloud computing and data.
• I understand you’re growing your UK operations and expanding your UK headcount
from 4,000 to 7,000. What could the government do to support you to invest
further in the UK?
• It is great to hear about Google’s Digital Garage programme and the support you
are giving regional SMEs. What lessons have you learnt from this project and how
can government best support these businesses across the UK?
• Our competitiveness depends on our ability to upskil our workforce. What are the
skil s needs of your workforce? What would you want out of a new National Skil s
Fund?
Potential points raised by Google – discuss only if raised
Digital Services Tax (DST)
• The DST is a proportionate interim solution to the challenges digitalisation poses for
the corporate tax system, pending a global solution. The government recognises that
businesses have concerns about the DST, which is why it is only coming into force
following extensive consultation.
• The UK DST is designed in a proportionate way. It is based on the location of users,
not the location of businesses.
• The government has been clear that our strong preference is for a global/OECD
solution, and the UK is working actively with other countries to achieve that
goal. Once an appropriate global solution is in place, the UK wil no longer need our
DST.
Other talking points
• Government response to the Furman Review: The Government is considering how to
take forward proposed reforms to the competition landscape and wil respond in
due course. This demonstrates the UK leading the way in responding to new global
competition challenges.
• Challenges of regulation to innovation: It’s important we ensure that rules and
regulations keep pace with technological advances. Making sure the regulatory
landscape remains favourable to innovation wil ensure the UK is one of the best
places to start and grow a digital business.
• The CMA’s ongoing digital advertising market study: The CMA are an independent
organisation. Treasury officials would be happy to discuss this further on conclusion
of this investigation.
• Online Harms: We would be interested in your views on the interim response to the
Online Harms White Paper and whether this addressed your previous concerns with
the proposals.
• Data and trade: The UK is a global leader in strong data protection standards, and
data protection wil continue to be a priority after EU exit. The UK and EU agree that
the continued free flow of personal data is important for the future economic and
security relationship.
Factual Background
Digital Services Tax (DST)
• DST is a temporary response to concerns with the taxation of digital businesses and
wil be disapplied once an appropriate global solution is in place.
• UK and US businesses, and the US administration, have been strong opponents. US
concerns include that the DST discriminates by focusing on the large US firms that
dominate the sector.
Furman Review
•
An independent, Treasury-led review on competition in the digital economy,
commissioned for from Professor Jason Furman, was published at Spring
Statement in March 2019.
•
The Furman Review proposed a new ‘Digital Markets Unit’ that would promote
competition in digital markets, for example by setting new rules governing digital
platforms.
•

CMA Online platforms and digital advertising market study
• In July 2019, the CMA announced a market study into online platforms and the
digital advertising market in the UK. They are due to release their full study and
recommendations by July 2020.
• In December, the CMA released an interim report criticising Google and Facebook as
their ‘profitability goes beyond a reasonable sum for a competitive marketplace’.
• The final report wil be published in July 2020.
Online Harms White Paper
• Google has generally supported the government’s approach to Online Harms but
have two concerns: (i) that a framework developed for social media platforms would
be uniformly applied to other digital platforms (e.g. search); (ii) that the original
scope included cloud services.
• Policy development on the framework is ongoing; HMT will review the business case
in Spring.
National Skil s Fund
• We’re in the early stages of designing the National Skil s Fund to offer technical
provision to adults. The objective set out in the manifesto was to transform the lives

of people who have not go onto the work ladder and lack qualifications, as wel as
people who are keen to return to work or switch from one career to another.
• The manifesto committed to a consultation, which we will launch in the Spring.
Tech Competitiveness Study (TCS)
The government has asked a panel of industry experts, including Microsoft’s Cindy Rose,
to make recommendations on how to strengthen the UK tech sector. Their report is
expected in Spring.
Further Background
• Google is an American multinational technology company and the largest subsidiary
of Alphabet Inc. Google’s services are split into three categories: web-based services,
software and hardware.
• Google has three London offices and 4,000 UK employees and are currently building
a new King’s Cross UK headquarters which wil house 7,000 employees.
• Google has amassed €8.2bn in fines from the EU in the last 3 years – fines have
focused on Google’s unfair promotion of their own services and for blocking adverts
from rival search engines.
• Google has its own UK digital skil s initiative called Digital Garage which has
upskil ed 500,000 individuals. The Garage consists of a series of online modules and
free events across the UK to upskil business owners and local people.

Hi,
One of the CST’s thoughts after the Google meeting was that he often meets firms who come to him,
but would like to engage more strategically with people that genuinely understand issues on the
ground.
He asked if we could give some thought to people he could meet on our agenda to help shape our
thinking. It’s a timely ask, as he’s covering the digital portfolio for XST until mid-April.
Given [Redacted Section 40(2)] has some capacity, could you ask her to draw up a long-list of 10
techy people who would give CST some interesting food for thought on our priorities going into CSR?
Good to focus on non-usual suspects (could be CTOs rather than just CEOs, reps from stand-out
start-ups/medium sized companies rather than big tech, or academics doing relevant work). We could
then whittle down to 5-6 to include in a note to him next week. He asked that this include [Redacted
Section 40(2)]. In the note we could also offer to set up a roundtable as a way of speaking to a few
people at once.
This isn’t especial y time sensitive so can slip to late next week or the fol owing if needed given
Budget pressures.

• ·Rona Harris started by welcoming the government’s shift toward por-tech messaging and
spoke about Google’s commitment to investment in the UK
• ·CST spoke about the Government’s pro migration and trade message and the opportunities
for using tech to drive improvements in the NHS
• ·Harris and CST both agreed on the importance of skills and the CST welcomed goggle’s
initiative in this areas (such as digital garage).
CST asked to see the evaluation of this work. CST referenced the manifesto to underscore the government’s commitment to innovation
and R&D.
• ·Hal Varian spoke about some of the economics of innovation:
o ·Government intervention often creates spill overs that lead to successes such as
google.
o ·Competitions (such as Kaggle) help promote innovation.
Google promised to send
over data on this.
• ·Both google and the CST agreed that there was a possibility for the UK to position itself as a
third way between the EU and the US re online regulation.

• ·CST was interested to hear Google’s views on what the government should prioritise so that
it can drive improvements in the delivery of public services and deliver

• ·On maximising the potential of VC: Varian pointed out that you need to work with silicon
Valley to maximise potential, rather than trying to create your own version of US companies
(as is happening in Europe).

In 2018 and 2019, the £20m GovTech fund launched 15 competitions for private sector tech
solutions to a variety of public sector challenges (e.g. tracking firefighters in a burning building,
detecting illicit goods at the border). Development of solutions to these challenges continues, with
the first full solutions expected this year. Cabinet Office Ministers have expressed interest in
expanding the fund, which you could consider at SR.

• ·Rona Harris started by welcoming the government’s shift toward por-tech messaging and
spoke about Google’s commitment to investment in the UK
• ·CST spoke about the Government’s pro migration and trade message and the opportunities
for using tech to drive improvements in the NHS
• ·Harris and CST both agreed on the importance of skills and the CST welcomed goggle’s
initiative in this areas (such as digital garage).
CST asked to see the evaluation of this work. CST referenced the manifesto to underscore the government’s commitment to innovation
and R&D.
• ·Hal Varian spoke about some of the economics of innovation:
o ·Government intervention often creates spill overs that lead to successes such as
google.
o ·Competitions (such as Kaggle) help promote innovation.

over data on this.
• ·Both google and the CST agreed that there was a possibility for the UK to position itself as a
third way between the EU and the US re online regulation.
• ·CST was interested to hear Google’s views on what the government should prioritise so that
