Thank you for your request for information with regards to Bus shelter contracts which we received on the 21st of September 2022.

The information that you have requested is detailed below.

1. Do you have a contract with a commercial partner to provide and maintain your bus shelter infrastructure? If yes, who is your contracted provider?
Only for shelters with advertising, which is with Clear Channel (U.K.) Ltd. (i.e. with regard to both cleansing and maintenance). All other non-advertising shelters are procured via Sell2Wales with specification required for site. Recent purchases have been supplied by both Clear Chanel (U.K.) Ltd and BSL Shelters Ltd.
With the exception of recently purchased shelters from BSL Shelters Ltd that include a termed quarterly cleansing agreement with the purchase, all other shelters owned by the Council are cleansed and maintained on an ad hoc basis (i.e. on request when cleansing/maintenance issues are raised) by the Council's Visible Services teams in Cleansing and Highways Maintenance.

2. What are the start and end dates of your bus shelter contract, including any optional extensions?
Clear Channel (U.K.) Ltd advertising shelters only:
Start date = 01-Jun-2019
End date = 31-May-2024
Agreement will automatically extend if 1-years notice isn't given.

BSL Shelters Ltd shelters purchased since 2020:
Built in cleansing agreement when purchased for quarterly cleansing, which is in line with the above end date for Clear Channel Ltd advertising contract agreement.

3. What is the financial value of your contract?
Not supplying - Section 43 of the Freedom of Information Act 2000

4. How many bus shelters does the contract cover?
The attached identifies numbers of advertising units, but not shelters (i.e. 2 units can be fitted to 1 shelter - check location details). Revenue share is only applicable to digital advertisement boards.

5. How many of the bus shelters covered in the contract have advertising shells? What is the breakdown of these advertising shells between traditional print and digital?
The attached identifies numbers of advertising units, but not shelters (i.e. 2 units can be fitted to 1 shelter - check location details). Adshel Live are the digital displays (10 in total).

6. What restrictions are there within the contract in relation to advertising in your bus shelters - for example, are there any industries or topics that cannot be advertised?
Smoking/Vaping cannot be advertised.

We have considered your request and would advise we are unable to provide you with the information requested in question 3 as we consider this to be exempt from disclosure in accordance with Section 43 of the Freedom of Information Act 2000(FOIA).

Section 43(2) refers to information being exempt from disclosure if its disclosure would, or would be likely to, prejudice the commercial interests of any person (including the public authority holding it). Section 43 is a qualified exemption subject to the public interest test however we consider that the public interest in withholding the information outweighs the public interest in disclosing it. In reaching this conclusion we have taken into account the following factors:

Favouring withholding:
- The Council has a duty to protect the commercial interests of our suppliers, contractors and consultants;
- If information was disclosed this would distort the procurement process and so could make it more difficult for the Council to ensure it selected those bids which provide best value for money.

Favouring disclosing:
- Openness and transparency i.e. the public have a clear interest in knowing the terms of contracts awarded to public authorities given that contracts involve the spending of public money.

In accordance with Section 17 of the Freedom of Information Act 2000 and for the reasons stated above, this letter acts as a Refusal Notice to provide the information requested in question 3.

If you are dissatisfied with the handling of your request, you have the right to ask for an internal review. Internal review requests should be submitted within two months of the date of receipt of the response to your original letter and should be addressed to: The Monitoring Officer, Civic Offices, Holton Road, Barry, CF63 4RU.

If you are not content with the outcome of the internal review, you have the right to apply directly to the Information Commissioner for a decision.
