Re: Freedom of Information Request FOI-002236

Thank you for requesting information pursuant to the Freedom of Information Act 1990 (FOIA).

Clearly the information that you have requested is held by the Council.

The information you have requested has been considered against the relevant information laws (primarily the Freedom of Information Act
and the Data Protection Act and its principles). A review of the relevant public interest tests has been completed.

I attach a link to a copy of the final version of the contract as drafted.

However, I am afraid that the Council is unable to provide you with all the information you have requested within the contract, and
those parts have been withheld under the following exemptions:

Section 41 FOIA

Information is exempt information if it was obtained by the public authority from any other person (including another public authority),
and the disclosure of the information to the public (otherwise than under this Act) by the public authority holding it would constitute
a breach of confidence actionable by that or any other person.

Section 43 FOIA

The information is potentially exempt from disclosure under section 43 FOIA, (trade secrets and commercial interests). Section 43 is a
qualified exemption which means that it is necessary to consider the public interest when deciding whether to release or withhold such
information.

Public Interest Test

While there is a general public interest in the disclosure of information – as greater transparency makes the Council more accountable –
consideration has had to be given to the need to ensure that the commercial interests of third parties are not prejudiced or undermined
by disclosure of information which is not common knowledge.

The information requested has been reviewed in light of all the circumstances existing at the current time in order to decide whether or
not it can be withheld. The Council has agreed with SLM those matters which are commercially sensitive or confidential to protect the
parties’ interests. The Contract has been signed within the last month, as such

The disclosure of information relating to commercial matters would prejudice the business interests of SLM.

We consider that the public interest in favour of disclosing the information you have requested which is potentially covered by this
exemption is outweighed by the public interest in protecting the commercial interests of third parties. In this case, the Council has
decided to withhold such information.

Furthermore, unauthorised disclosures of trade secrets, just as with other breaches of confidentiality, is likely to result in legal
action being taken against the Council.
