Dear Airedale NHS Foundation Trust,

Could you please provide me we answers to the following questions under the Freedom of Information Act:

1. Has your Trust already, or is it in the process of, setting up a wholly-owned subsidiary company (or companies) for the purpose of providing estates, facilities and similar non-clinical services for the Trust?

2. Has there been a formal consultation process with staff members and other stake-holders regarding the setting up of the subsidiary company? On what date was this process started and what form did it take?

3. What is the name of the subsidiary company, as registered with Companies House?

4. Who are it's directors?

5. What was the selection process for the directors? i.e. when and where were the posts advertised and what were the selection criteria? Please provide me with copies of the job advertisements.

6. On what date was the company registered with Companies House?

Thank you for your request for information from Airedale NHS Foundation Trust which was received on 15th February 2018. Your request has been given the Reference Number 3345.

Please note that under the Freedom of Information Act, some information can be subject to exemptions, which means that the Trust does not have to provide the information requested. Some exemptions are “absolute” such as personal information and some only apply where the public interest in maintaining the exemption, outweighs that of providing the information.

In some cases, where identifying, retrieving and processing the requested information requires more time than the appropriate “cost limit” of two and half days work, we may refuse the request, or we may charge a fee. If the latter is the case, I will let you know and a Fees Notice will be issued to you. If you still wish to receive the information, you will need to pay the fee before we proceed with your request.

Further to your application to access information under the Freedom of
Information Act (Our Ref. 3345) please find our response below and
attached.
 
1. Has your Trust already, or is it in the process of, setting up a
wholly-owned subsidiary company (or companies) for the purpose of
providing estates, facilities and similar non-clinical services for the
Trust? - Yes
 
2. Has there been a formal consultation process with staff members and
other stake-holders regarding the setting up of the subsidiary company? On
what date was this process started and what form did it take?  Yes. The
Foundation Trust began consultations with staff and the unions in July
2017 through a number of open sessions that staff and union
representatives  attended; and through regular meetings with the unions as
part of the Foundation Trust’s partnership group arrangements. Following
the Board’s decision to establish a wholly owned subsidiary on 25 October,
staff and the unions were informed the same day; and the TUPE consultation
process commenced.    
 
3. What is the name of the subsidiary company, as registered with
Companies House? - AGH Solutions
 
4. Who are its directors? - Already published. See Companies House -

5. What was the selection process for the directors? i.e. when and where
were the posts advertised and what were the selection criteria? Please
provide me with copies of the job advertisements. The Managing Director
and Director of Finance were selected on the basis of open competition,
with the posts advertised on NHS jobs.  The job adverts including the
person specification is attached.  The Board appointed the Non- Executive
Director Chair from within the current Foundation Trust’s Non- Executive
Directors. 
 
6. On what date was the company registered with Companies House? - Already
