Enforcement action against Scottish limited partnerships

This is a Freedom of Information request.

Please could you provide me with the following information?

Scottish limited partnerships (SLPs) are required to name a person of significant control, if they have one.

Please could you confirm:

1. How many SLPs have, to date, failed to register a "person of significant control" statement at companies house?

2. How many SLPs have triggered some form of regulatory action from Companies House as a consequence of their failure to register a compliant "person of significant control" statement? If regulatory action has been taken, please provide a breakdown of the types of enforcement actions taken and any outcomes to date.

3. Please provide an estimated cost to date, to companies house, of regulatory action taken against SLPs linked to enforcing "person of significant control" disclosure rules. If possible please break this cost down into staff costs, legal costs, and other administrative costs as appropriate.

4. Please also provide copies of any correspondence between Companies House and the Scottish Government relating to this matter, redacted as required to mitigate against data protection concerns.

I refer to your request for information under the freedom of information
legislation in your email of 29 January 2018.

 

You asked for the following information:

 

1. How many SLPs have, to date, failed to register a "person of
significant control" statement at companies house?

 

As at 31 January 2018 there were 7078 SLPs that had not filed PSC
information, however a portion of these are dissolved or inactive and
Companies House (CH) would not pursue these.

 

2. How many SLPs have triggered some form of regulatory action from
Companies House as a consequence of their failure to register a compliant
"person of significant control" statement? If regulatory action has been
taken, please provide a breakdown of the types of enforcement actions
taken and any outcomes to date.

 

All SLPs have been written to explaining the requirements to file PSC
information. Subsequent to this, CH is undertaking a programme of
compliance action, writing out to all SLPs that have failed to file. This
is an ongoing programme.

 

3. Please provide an estimated cost to date, to companies house, of
regulatory action taken against SLPs linked to enforcing "person of
significant control" disclosure rules.  If possible please break this cost
down into staff costs, legal costs, and other administrative costs as
appropriate.

 

The estimated cost of sending the letters referred to in question 2 is
£13,003.04. Please note that this figure is approximate and has not been
audited in any way.          

CH does not distinguish between staff costs for SLP compliance and all
other types of compliance, therefore, we are unable to break these costs
down any further.

 

4. Please also provide copies of any correspondence between Companies
House and the Scottish Government relating to this matter, redacted as
required to mitigate against data protection concerns.

 

I have attached correspondence held by CH in relation to your request i.e.
correspondence between CH and the Scottish Government concerning
regulatory action against SLPs.

 

Please note that some information has been redacted under section 40
Freedom of Information Act 2000 as it is personal data and where the
information is not in the scope of your request.
