Once again we are not in agreement about the Regulation 7 exemption.

For ease of reference, I have copied in Regulation 7 below:

Extension of time

7.—(1) Where a request is made under regulation 5, the public
authority may extend the period of 20 working days referred to in
the provisions in paragraph (2) to 40 working days if it reasonably
believes that the complexity and volume of the information
requested means that it is impracticable either to comply with the
request within the earlier period or to make a decision to refuse
to do so.

(2) The provisions referred to in paragraph (1) are—

(a)regulation 5(2);
(b)regulation 6(2)(a); and
(c)regulation 14(2).
(3) Where paragraph (1) applies the public authority shall notify
the applicant accordingly as soon as possible and no later than 20
working days after the date of receipt of the request.

I  don't think the request is particularly complex, nor am I expecting a voluminous amount of information, and whilst I appreciate that it is now some two years since I first voiced my concerns to the Council about this agreement which was made behind closed doors and seemed to me to compromise the planning process, I am surprised both that you consider the matter "closed" and that the majority of the  information requested has not been scanned and filed electronically which would enable it to be retrieved within the prescribed timescales. 

Once again I will be referring the matter to the Information Commissioner to consider under s77 of the FOI Act, but in the meantime I would be grateful if  you would release the information you have been able to locate within the 20 day period, and the remainder as soon as possible thereafter with a more detailed explanation as to the complexities ( rather than practicalities) of obtaining it within the normal timeframe.

Thank you for your email. I think we may be at cross purposes here. There has never been any risk-sharing agreement between the authority and Sovereign Housing. The agreement was proposed, drafted and discussed, and agreed in principle, (the purpose of the report you have already received), but never enacted. Consequently the information has been archived some time ago and the files closed. Emails have not all been retained because they didn't fall within the requirement to be retained as records, so we are having to do some additional work to establish that we have traced everything. And you asked about councillor involvement, which seems unlikely as the agreement never went beyond a proposal, but which I am, as you suggested, trying to check.

However, you are welcome to refer this to the Information Commissioner if you wish to do so.

Many thanks for this information. I look forward to receiving the remainder, and am hoping it will shed some light on why it took a year to bring this agreement to the attention of the Executive, why KPMG's advice and the observations of the Council's own legal team appear to have been ignored in the report presented to the Executive, and why the agreement which had been in existence in draft form and had purportedly widely consulted on within the Council was not subsequently signed.

I am wondering whether the agreement was signed at an earlier date by someone who did not actually have the authority to do so. it seems odd to me that having gone to the trouble of drawing up this agreement Sovereign Housing would have proceeded to demolish the garages adjacent to Platt Courtt, build a bat house ( thus circumventing the regulations regarding endangered species ) and presumably incurr further pre-planning costs without first ensuring that the agreement was signed.

Please could you therefore confirm your statement that the agreement was never signed.

also included the Draft Heads of Terms; this was never finalised but is
referenced in other documents. The report mentioned in RSA emails 5 is
the one already supplied which went to Corporate Board in March 2010.

We have withheld some information within RSA emails 3 on the grounds
that this is exempted by legal professional privilege, as it represents
legal opinion or advice presented by the legal advisers for Sovereign
Housing and the legal advisers for West Berkshire Council on behalf of
their respective clients. It is our view that where this information is
legal advice supplied on behalf of the Council it is confidential in
nature - the exception at Regulation 12(5)(d) of the Environmental
Information Regulations 2004 applies; or where this information is
legal advice supplied on behalf of Sovereign Housing it is commercially
confidential in nature - the exception at Regulation 12(5)(e) applies. A
copy of the exceptions and the public interest test are annexed.

We have also withheld The Priory Pre-Construction Agreement, which was
included with one of the emails. This agreement was made between
Sovereign Housing and their developer, and the authority is not a party
to it. It is our view that it is exempted as commercially confidential
under Regulation 12(5)(e). Again this is explained in the annex.

A small amount of information on RSA email 1 has been withheld because
this does not relate to the Priory development.

Please be advised that my email of earlier today refers to your first email of today ( 1st October).

Whilst the further emails you have provided give further information with regard to the drafting and progress of the agreement up to its agreement by the Executive Board, there are, as you say, a considerable amount of duplicated emails and they are not presented in any particular order. They also seem primarily to concentrate on matters prior to presentation of the report to the Executive Committee, with no real explanation as to why the Executive's resolution was not enacted. On the balance of probabilities it is my belief that there is further information within the scope of this request that the Council has decided not to seek out or disclose.

I note your reference to the time taken dealing with this request so far, but would ask that the Council also takes into account in its internal review the duty to 'advise and assist'. You did not ask me to refine the request, and despite clarification appear to have limited its scope to exclude Councillors acting in their Executive capacity.
