Standards of Reporting of Lords Interests

Keith Mallen (Account suspended) made this Freedom of Information request to House of Lords

House of Lords did not have the information requested.

From: Keith Mallen (Account suspended)

6 August 2009

Dear Sir or Madam,

I am aware that members of 'The House' are periodically required to
report their external interests.

As a recent example

http://www.publications.parliament.uk/pa...

"HOUSE OF LORDS SESSION 2007-08
REGISTER OF
LORDSā€˜ INTERESTS
AS AMENDED
TO SHOW POSITION ON
21 JULY 2009"

"LAMONT OF LERWICK, Lord
*12(d) Non-parliamentary consultant Consultant to Consensus
Business Group (formerly Rotch Property) Member of the Advisory
Board, Merchant Bridge & Co Member of the Advisory Board, Hermitage
Global Fund Adviser to Eternitas Investment Fund LP *12(e)
Remunerated directorships Chairman, Small Companies Dividend Trust
Chairman, Jupiter Adria Plc Director, Balli Group plc (steel and
commodity trading house) Director, Compagnie Internationale de
Participations Bancaires et Financieres (Investment Company)
Director, Jupiter Second Split Director, RAB Capital plc Director,
Jupiter Offshore Portfolio Fund Limited Director, Union Resources
(quoted on the Sydney Stock Exchange) Director of Phorm Inc,
Director, Stanhope Gate Developments"

Lord Lamont claims to be a Director of Phorm Inc.

Referring to Phorms website.

http://www.phorm.com/about/board_lamont....

Lord Lamont is listed as a 'Non-Executive Director' which seems at
odds with your listing, presumably as submitted by himself, of
being a 'Director' of the company.

Furthermore if I refer back to previous changes in, Phorm, the
companies history then I find that they have modified their
'charter of incorporation'

http://www.phorm.com/reports/Certificate...

becomes

http://www.phorm.com/reports/Amended_and...

In both cases mention is made of 'Authorized Directors'. In the
second case there is a removal of rights for shareholders in favour
of such directors.

Firstly Lord Lamont claims to be a Director of this Company whereas
he is listed as a Non-Executive Director. Therefore I consider that
to be a false claim.

Furthermore his listing as a Non-Executive Director given the
companies 'Restated Certificate of Incorporation' may reduce his
apparent effectiveness as a Non-Executive Director should he not be
considered 'Authorized'.

I will state that the appointment of Lord Lamont has, in the past,
undoubtedly had an affect on the trading price of shares in Phorm.

FOI request

In the light of the above information.

Please explain the checks and measures you have in place to ensure
that Lords correctly and fully explain their associations with
companies and the influence they may have on said companies?

How will you be changing such checks and measures to ensure such
reporting will not be open to abuse?

Yours faithfully,

Keith Mallen
