Schedule 7: Transition

Background
1.1
The purpose of this Schedule is to outline the activities to be undertaken during Transition
including:
(a) the project plan showing all key dates and periods;
(b) a description of the activities due to be undertaken during those periods;
(c) the resources identified to undertake the required processes;
(d) the Service Provider’s responsibilities during the period;
(e) the processes and project methodologies to be used by the parties; and
(f)
the Milestones which must be met by the Service Provider and the Liquidated Damages
that become payable for failure to meet such Milestones.

Transition Plan
2.1
The Transition Plan is set out in this paragraph 2 and is also shown in the form of a High
Level Transition Plan in the Annex to this Schedule. The purpose of the Transition Plan is to
ensure a Smooth Transition from the Existing Service Provider to the Service Provider.
Transition commences on the Effective Date and continues until all elements of the Services
have successfully completed Trialling.
2.2
The Service Provider agrees to effect Transition in accordance with the project plan set out
in the Annex to this Schedule.
2.3
The activities to be undertaken during Transition are as follows:

Schedule 2 (

2.4
The processes and project methodology to be deployed by the Service Provider during
Transition are as follows:
The Service Provider approach will be based upon the existing in-house implementation
methodology and will be managed using a scaled Prince2 implementation delivering items
such as:

(a)
Specification of the operational requirements
A detailed document specifying the exact business requirement and all deliverables.
(b)
Detailed project plan
A Project plan detailing the deliverables, resources, and timescales of all activities
required.
(c)
Project checkpoints and analysis
Reporting to both the TVL and Service Provider senior management detailing the exact
progress on the project and specifically highlighting any issues that may arise.
(d)
Quality Assurance
All project deliverables will be subject to QA controls and will be matched back to the
original specification to ensure correct delivery.
(e)
Post implementation reviews
Feedback to all stakeholders on the implementation generating potential improvements
in service and delivery.
(f)
The Governance structure and process
Project governance is integral to the Service Provider project approach. The Service
Provider will create, with significant input from the BBC, a project board representing
all.
It is imperative that the Transition be managed by a single, dedicated project manager who
will be able to co-ordinate the activities of all participating organisations and individuals. The
BBC will provide a project manager authorised by the BBC to an appropriate level to ensure
co-operation with a suitable command and control structure to support this role.
2.5
During Transition, the Service Provider will provide the resources detailed in the Annex to
this Schedule.
2.6
Without prejudice to paragraph 2.5, the Service Provider will provide all resources required
to ensure Smooth Transition and fulfilment of this Transition Plan.
2.7
The Service Provider acknowledges and agrees that it will be required to co-operate and
work directly with the Existing Service Provider to ensure Smooth Transition and fulfilment of
this Transition Plan.
2.8
The Service Provider will meet the Milestones set out in par
agraph 2.10 during Transition.
2.9
The parties acknowledge that the liquidated damages set out in paragraph 2.10 are a
reasonable and true estimate of the loss which the BBC may suffer by reason of the Service
Provider’s delay in meeting the associated milestones.

2.11 (a) All Transition Releases will undergo Trialling on the dates set out in the Transition Plan.
(b) Within five (5) Working Days of the end of each Trialling, the BBC will confirm to the
Service Provider in writing whether the Transition Release in question has successfully
fulfilled the Trialling Criteria.
(c) Where the BBC is unable to confirm that a Transition Release successfully fulfils the
Trialling Criteria in accordance with paragraph (b) above, the Service Provider will
recommence Trialling for that Transition Release. Where a Transition Release
undergoes Trialling twice or more and the BBC is unable to confirm that such Transition
Release successfully fulfils the Trialling Criteria in accordance with paragraph (b)
above, the BBC will be entitled to either:
(i)
escalate the matter in accordance with the Escalation Procedure; or
(ii)
terminate this Contract in respect of the provision of such Transition Release.
(d) Where the BBC is unable to confirm that two or more Transition Releases successfully
fulfil the Trialling Criteria in accordance with paragraph (b) above, it will be deemed to
be a material breach and accordingly the BBC will be entitled to terminate this Contract
in its entirety in accordance with Clause 18.1(a) (
Termination) of the Terms and
Conditions.
2.12
The Service Provider will provide the BBC with access to Service Provider management and
staff, project sites and documentation and provide such assistance as the BBC will
reasonably request for the purposes of assuring Smooth Transition and fulfilment of this
Transition Plan.
2.13
The Service Provider will keep the BBC fully informed of its discussions and arrangements
with any Subcontractors to ensure a Smooth Transition and fulfilment of this Transition Plan.
